As a charitable company limited by guarantee, IRISS is governed by a Strategic Board who are Directors and Trustees of the charitable company.
Strategic Board members are appointed following open advertisement and as a principle of good practice our recruitment process mirrors that of the Office of the Commissioner of Public Appointments Scotland.

IRISS's new governance arrangements became effective in early 2007 and support the Strategic Board to execute their legal and statutory responsibilities and demonstrate good practice by:
- Implementing effective leadership, strategic direction and governance of IRISS
- Focusing on IRISS's purpose and meet our intended outcomes for all stakeholders;
- Performing effectively as a Strategic Board (Board of Management) in clearly defined roles and functions;
- Putting our organisational values into practice and demonstrate these through behaviour;
- Taking informed, transparent decisions and managing risk;
- Developing the capacity and capability of Board members and senior employees to be effective and execute their governance responsibilities
- Engaging with our stakeholders to encourage active dialogue and representation and make our accountability real
